TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of celluvance.com (the "Site") and any products you purchase from us. By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

The Site is operated by Ultra Instinct LLC, a Wyoming limited liability company located at 33 N Gould St, Sheridan, WY 82801 ("Company," "we," "us," or "our").

2.1 Eligibility

You must be at least 18 years old (or the age of majority in your state) and a resident of the United States to purchase products from the Site. By placing an order, you represent and warrant that you meet these requirements.

2.2 Account Registration

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at ceo@celluvance.com of any unauthorized use.

2.3 Products, Pricing, and Availability

• All prices are listed in US dollars (USD) and are subject to change without notice.
• We reserve the right to limit quantities, refuse or cancel any order, and correct pricing or product errors at any time, including after an order has been placed. If we cancel an order due to such an error, we will refund any amount charged.
• Product images are for illustrative purposes; actual product appearance may vary slightly due to lighting, screen settings, or batch differences.
• Availability is not guaranteed and may change without notice.

2.4 Orders and Payment

By placing an order, you make an offer to purchase the products at the listed price. The contract is formed when we send a shipment confirmation email. We reserve the right to refuse or cancel any order for any lawful reason, including suspected fraud, inability to verify payment, or unavailable inventory.

You authorize us to charge your payment method for the total order amount, including taxes and shipping. You represent and warrant that you are authorized to use the payment method.

2.5 Shipping and Risk of Loss

Shipping is governed by our Shipping Policy. Title and risk of loss pass to you upon delivery of the product to the carrier.

2.6 Returns and Refunds

Returns and refunds are governed by our Refund & Return Policy.

2.7 Intellectual Property

All content on the Site — including text, graphics, logos, images, product names, trademarks, and software — is the property of Ultra Instinct LLC or its licensors and is protected by US and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written permission. "Celluvance" and the Celluvance logo are trademarks of Ultra Instinct LLC.

2.8 User Content

If you submit reviews, photos, comments, or other content to the Site or our social channels ("User Content"), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, publish, and display such content in any media for marketing and operational purposes. You represent and warrant that you own or have the rights to submit the content and that it does not violate any third-party rights or applicable law.

We may remove User Content that we determine, in our sole discretion, is unlawful, offensive, or violates these Terms.

2.9 Prohibited Uses

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the Site, accounts, or systems
• Use bots, scrapers, or automated tools to access the Site
• Resell our products without our prior written authorization
• Submit false, misleading, or fraudulent information
• Interfere with the security or integrity of the Site

2.10 Disclaimers

THE SITE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

2.11 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ULTRA INSTINCT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED US DOLLARS ($100.00).

Some states do not allow the limitation of liability for personal injury or for certain damages, so the above limitations may not apply to you to the extent prohibited by law.

2.12 Indemnification

You agree to indemnify, defend, and hold harmless Ultra Instinct LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your misuse of the Site or products, or (c) your violation of any law or third-party right.

2.13 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Subject to the arbitration provision below, any dispute will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

2.14 Binding Arbitration and Class Action Waiver

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS AND REQUIRES YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the products (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator and held in Sheridan County, Wyoming, or by telephone or video at your option. Either party may bring an individual claim in small claims court if the claim qualifies.

Class Action Waiver. YOU AND ULTRA INSTINCT LLC AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to ceo@celluvance.com (or by mail to Ultra Instinct LLC, 33 N Gould St, Sheridan, WY 82801, Attn: Arbitration Opt-Out) within 30 days of your first purchase. The notice must include your full name, mailing address, email address, and a clear statement that you wish to opt out of arbitration.

If any portion of this Section is found unenforceable, the rest of this Section will remain in effect, except that the Class Action Waiver is non-severable — if it is found unenforceable, this entire arbitration provision will be void.

2.15 Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, epidemics, labor disputes, supplier failures, internet or utility outages, or carrier delays.

2.16 Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms.

2.17 Changes to These Terms

We may modify these Terms at any time. The updated version will be posted with a new "Last Updated" date. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

2.18 Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with the Privacy Policy and other policies referenced, constitute the entire agreement between you and us regarding the Site and products.
